Platform Terms of Use of Dealzy (AdOnMo Private Limited)
This document constitutes a legally binding agreement between you (referred to as “You” or “User”) and AdOnMo Private Limited (referred to as the “Company”), regarding the use of Dealzy’s website/app.

By accessing or using the services provided by the Company, you agree to be bound by these Terms of Use. Please read them carefully before proceeding.

Acceptance of Terms
By registering for and/or using the Platform in any manner, you agree to all of the terms and conditions contained herein ("Terms of Use"), which also incorporate the Company’s Privacy Policy and all other operating rules, policies, and procedures that may be published from time to time by the Company. Each of these is incorporated by reference and may be updated by the Company without notice to you in accordance with the terms set out under the "Modification of Terms of Use" section below.

1. Access
Subject to these Terms of Use, the Company may offer to provide the Services, as described more fully on the Platform, and which are selected by you, solely for your own use, and not for the use or benefit of any third party. Services shall include, but not be limited to, any services the Company performs for you, any hardware or product offered by the Company, or any widgets that you download from the Platform or, subject to the terms set out under the "Third-party Sites and Services" section below, from third-party application stores authorized by the Company, as well as the offering of any materials displayed or performed on or through the Services (including Content (as defined below)).

The Company makes no representation that the content on the Platform and/or the Services is appropriate to be used or accessed outside India. Any users who use or access the Platform or avail the Services from outside India do so at their own risk and are responsible for compliance with the laws of such jurisdiction. These Terms do not constitute, nor may these Terms be used for or in connection with any promotional activities or solicitation by anyone in any jurisdiction in which such promotional activities or solicitation are not authorized or to any person to whom it is unlawful to promote or solicit.

2. Registration and Eligibility

To access Dealzy's services, you must register with accurate information, ensuring it remains up-to-date. Failure to do so may lead to account termination. Even services not requiring registration are governed by these Terms of Use. Registration is a one-time process, and returning users must log in using their original credentials. The Company reserves the right to refuse or cancel registrations at its discretion. You are responsible for all account activity and must maintain password confidentiality. Unauthorized account use must be reported immediately. By registering, you confirm legal capacity to enter into these Terms of Use. The Company may refuse service to anyone and change eligibility criteria at any time. Compliance with applicable laws is your responsibility.

In the event a minor utilizes the Platform or Services, it is assumed that the consent of the legal guardian or parents and such use is made available by the legal guardian or parents. The Company will not be responsible for any consequence that arises as a result of misuse of any kind of our Services that may occur by virtue of any person including a minor registering for the Services provided.]

You must not:

• Provide false personal information or create an account for anyone else without their permission.
• Use a Username to impersonate another person.
• Use a Username or account that infringes on someone else's rights without proper authorization.
• Use a Username that is offensive, vulgar, obscene, or unlawful.

Pricing and Terms of Sale

• The use of Dealzy (“Platform”) is currently free of charge, covering specific Services offered by the Platform. Please note that this no-charge policy is subject to change at the Company's discretion.
• Should you opt for a paid Service, payments can be made either as a one-time payment or through a monthly subscription service. All payments for Platform Services must be made in Indian Rupees, as the Platform does not support transactions in any other currency.
• While the Company endeavors to maintain accurate and updated pricing and availability of Services/products on the Platform, occasional errors may occur. In such instances, the Company is not liable for typographical errors and reserves the right to cancel transactions affected by such errors.
• The Company also reserves the right to rectify any inaccuracies or omissions in pricing, product availability, or descriptions, even after an order has been submitted. Additionally, the Company may change or update any information on the Platform without prior notice.
• Payments can be made through various methods, including Credit/Debit Cards, Net Banking, or UPI. Credit/Debit Card and Net Banking payments are processed via the Company's online payment service partners.
• Please note that any returns, refunds, or cancellation requests are subject to the Company's policies, which may be updated periodically.
• The Company retains the right to modify its rewards, policies, and program terms at its discretion, without prior notice to users.

Company Content

The Service includes Content provided by the Company or its partners on the Platform, which is protected by copyrights, trademarks, patents, and other proprietary rights. This Content ("Company Content") is subject to copyright notices, information, and restrictions that must be respected by users.

Subject to these Terms of Use, the Company grants users a worldwide, non-exclusive, non-sublicensable, and non-transferable license to use and reproduce Company Content solely for personal, non-commercial purposes. Any other use, reproduction, distribution, or storage of Company Content for commercial purposes is strictly prohibited without prior written permission from the Company or the copyright holder identified in the copyright notice.

Users are not permitted to sell, license, rent, or exploit Company Content for commercial use or in a manner that violates third-party rights. Company Content should only be used by users as end consumers of the Services.

All Company Content is provided on an "as is" basis without any warranties, including fitness for use, accuracy, merchantability, and non-infringement. The Company disclaims any implied warranties related to Company Content.

User Content

All Content on the Platform, whether publicly posted or privately transmitted, is the sole responsibility of the individual who created it. The Company cannot guarantee the authenticity of any Content or data provided by users. You acknowledge that accessing Content through the Service is at your own risk, and you are solely responsible for any resulting damage or loss. The Company shall not be liable for any such damage or loss.

For the purposes of these Terms of Use, "Content" includes any review, location information, logos, images, videos, audio clips, comments, data, text, photographs, software, scripts, graphics, and interactive features provided by the Company on the Service. Content created or uploaded by users is referred to as "User Submissions."

Service Provision and User Communications

The Services will be provided on a best efforts basis, with the Company making reasonable efforts to ensure uninterrupted and timely access to the Services.

By creating a Company account, you may receive updates, promotional materials, and other information related to the Service or new services offered by the Company. You can opt out of receiving these communications by following the unsubscribe link provided in any email. However, you will continue to receive important updates regarding your user account.

When using the Platform to access the Services, you acknowledge that you are transmitting sensitive and personal information, including registration details and mobile number ("SPI"), which are governed by the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. The Company agrees to secure and maintain the confidentiality of the SPI in compliance with these rules.

The Company disclaims responsibility for any harm resulting from the use, viewing, or downloading of Content. Users are advised to take necessary precautions to protect themselves and their systems from harmful content. The Content provider or creator is solely responsible for any Content offered through the Services, and the Company shall not be liable for any damages arising from its use.

Terms of Use & Conduct

To use the Service, you agree not to engage in any activities prohibited by these Terms of Use. You are responsible for all your actions on the Service and must adhere to all relevant laws and regulations, as well as any industry-specific codes if applicable to your business.

Examples of prohibited actions include:

• Infringing on the rights of others, including intellectual property rights or contractual obligations.
• Providing false, misleading, or inaccurate information.
• Posting unlawful, abusive, harassing, or offensive content.
• Sending unsolicited advertising or engaging in commercial activities without prior consent.
• Distributing harmful computer codes or interfering with the Service's functionality.
• Impersonating others or sharing sensitive information.
• Violating our Privacy Policy or other incorporated policies and rules.

Additionally, you agree not to:

• Overload our infrastructure or disrupt the Service's proper functioning.
• Interfere with the Service's operations or security measures.
• Circumvent access restrictions or engage in spamming.
• Harvest or scrape content from the Service.
• Modify, distribute, or exploit the Service without authorization.
• Attempt to reverse-engineer or decipher any part of the Service.
• Delete or alter any content without permission.
• Use the Service for unlawful purposes or fraudulent activities.
• Make false statements about the Service or the Company.

By using the Service, you confirm that you:

• Are at least 18 years old and will comply with all applicable laws.
• Have read and agreed to our Terms of Use and Privacy Policy.
• Will provide accurate and updated information.
• Will not use the Service for unlawful or illegal activities.

You acknowledge that the hardware and software underlying the Service are the Company's intellectual property, and you have no rights to them beyond the terms stated here. The Company reserves the right to access and disclose information as necessary to enforce these Terms of Use and protect our users and the public.

External Sites and Platforms Disclaimer

Our Service may provide links to third-party websites, services, or resources on the Internet, and other websites may link to our Platform. When you access these third-party sites, you do so at your own risk. We do not control these websites and are not responsible for their content, accuracy, legality, or any other aspect.

The inclusion of any link does not imply endorsement by us, nor does it imply any association with the operators of those sites. You acknowledge that we are not liable for any damage or loss resulting from your use of or reliance on any content, goods, or services available through these third-party websites or resources.

Termination

We reserve the right to terminate your access to the Service, in whole or in part, at any time and for any reason, with or without notice, effective immediately. This may result in the loss of all information associated with your account. If you want to terminate your account, you can do so by following the instructions on the Platform. Certain provisions of these Terms of Use will survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Liability and Warranty Disclaimer

The Company recognizes that our relationship with you doesn't entail any special obligations beyond those outlined in these Terms of Use. We don't control who accesses the Service, the nature of the Content you encounter, or how you interpret and utilize it. Consequently, we cannot be held liable for any consequences arising from your exposure to Content through the Service.

Specifically, we disclaim liability for any incomplete or unsuccessful transactions facilitated through the Service. Regardless of the circumstances, we're not responsible for any damages resulting from your use of the Services, including instances of bodily harm or emotional distress.

Our Platform, Service, and Content are offered "as is," without any warranties, whether express or implied. This means we don't guarantee the security, availability, or accuracy of the Service or any linked third-party sites. Your decision to use the Platform, Service, and Content is entirely at your own risk. While these limitations on warranties may not apply in some jurisdictions, we adhere to them as best practice.

It's important to note that if the Platform or any Services include open-source software, the terms of the relevant open-source license may supersede certain provisions outlined in these Terms of Use.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective employees, contractors, directors, suppliers, and representatives from any losses, costs, actions, claims, damages, expenses (including reasonable legal costs), or liabilities arising from your use or misuse of the hardware, Platform, Service, Content, or from your violation of these Terms of Use. This includes any infringement by you or any third party using your account of any intellectual property or other right of any person or entity. The Company reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to assist and cooperate with the Company in asserting any available defenses.

Copyright and Trademarks

All works contained in the Platform, including but not limited to Content, features, functionality, software, design, text, sound recordings, and images, are the exclusive property of the Company or licensed by the Company, except as expressly stated otherwise. You may only access the Platform for your use of the offered Services.

All trademarks, service marks, trade names, trade dress, and other forms of intellectual property are proprietary to the Company. No information, code, algorithms, content, or material from the Platform may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed without the Company’s express written permission.

You must:

• Not copy, transmit, display, perform, distribute, license, alter, store, or otherwise use the Platform or any of its components.
• Not delete or modify any content of the Platform or Services, including legal notices or proprietary notices, without permission.
• Not make false or malicious statements against the Services, Platform, or Company.
• Not use the Platform or Services unlawfully or fraudulently, including inserting harmful code or engaging in disruptive acts.
• Not damage or compromise the Platform, systems, or security, or interfere with other Users.
• Not engage in reverse engineering of the Platform or its components.
• Comply with all applicable laws and regulations related to the use and export of the technology supported by the Platform or Services.

Limitation of Liability

The Company will not be liable or responsible for:

• Any instance where the transaction is unable to be completed or does not come to fruition;
• Failure to perform, or delay in performance of, any of the Company’s obligations under these Terms of Use due to any act or event beyond the Company’s reasonable control, including force majeure events;
• Failure to perform, or delay in performance of, any of the Company’s obligations under these Terms of Use or any financial loss caused by an assigned partner(s) or a third-party service;
• The Platform not meeting your individual requirements or containing defects or errors, as it has not been developed specifically for you. It is your responsibility to ensure that the Platform's facilities and functions meet your requirements;
• Any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your device, data, or other proprietary material due to your use of the Platform or the Services.

Additionally, by using the Platform or any Services, you acknowledge and agree that internet transmissions are never completely private or secure. You understand that any message or information you send using the Platform or any Services may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

It is your responsibility to ensure that the facilities and functions of the Platform meet your requirements. Nothing in these terms of use shall exclude or limit your liability in respect of any indemnity given by you under these Terms of Use. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such cases, the Company’s liability will be limited to the fullest extent permitted by applicable law.

Without prejudice to the foregoing, none of the directors, employees, agents, representatives, partners, suppliers, or content providers of the Company shall be personally liable for any action in connection with the Platform or the Services.

To the maximum extent permitted by applicable law, in no event shall the Company, nor its directors, employees, agents, representatives, partners, suppliers, or content providers, be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory or otherwise (and whether or not the Company, its directors, employees, agents, representatives, partners, suppliers, or content providers had prior knowledge of the circumstances giving rise to such loss or damage) with respect to the Platform, Service, or Content for:

The use or inability to use the Platform and /or Service;

• Indirect, remote, or consequential losses or damages;
• Loss of actual or anticipated profits;
• Loss of revenue;
• Loss of goodwill;
• Unauthorized access to or alteration of your transmissions or loss of data;
• Loss of anticipated savings;
• Wasted expenditure;
• Cost of procurement of substitute goods or services; or
• Any other matter relating to the Platform and / or Service.

Governing Law

A printed version of these Terms of Use and any notice provided electronically shall be admissible in judicial or administrative proceedings to the same extent as other business documents and records originally generated and maintained in printed form. You and the Company agree that any cause of action arising from or related to the Service must be initiated within one (1) year after the cause of action arose; otherwise, it is permanently barred.

These Terms of Use are governed by and construed in accordance with the laws of India. Any disputes between the Company and You concerning the Terms of Use are subject to the jurisdiction of the courts in Hyderabad.
